Terms of Service

These terms govern your access to and use of Clio CRM. By creating an account or using the platform, you agree to them.

Acceptance of terms

By signing up for Clio, accessing the product, or using any related websites and services, you confirm that you have read and agree to these Terms of Service and our Privacy Policy. If you use Clio on behalf of a company, you represent that you have authority to bind that company.

If you do not agree, do not use Clio.

The Clio platform

Clio is a cloud software platform for customer messaging and CRM. Features may include a shared team inbox, contact management, WhatsApp template campaigns, workflows, analytics, AI assistance, and integrations with third-party services.

We may add, change, or retire features as the product evolves. Paid plans, limits, and pricing are described on our website or in a separate order form or invoice.

Accounts and eligibility

You must provide accurate registration information and keep it up to date. You are responsible for activity under your organization and user accounts. Clio is intended for business use by people who can form a binding contract under applicable law.

User responsibilities

You agree to:

  • Use Clio only for lawful business purposes
  • Comply with applicable messaging, spam, and data-protection laws
  • Obtain any required consent before messaging contacts on WhatsApp or other channels
  • Ensure content you send (templates, campaigns, media) is accurate and authorized
  • Keep login credentials confidential and restrict access to authorized staff
  • Configure roles and permissions appropriately within your organization

Acceptable use

You may not use Clio to:

  • Send spam, scam, phishing, or unsolicited bulk messages in violation of law or Meta policies
  • Harass, defraud, or harm others
  • Upload malware or attempt to breach, scan, or overload our systems
  • Reverse engineer or resell the service except as allowed by law or written agreement
  • Impersonate another person or misrepresent your affiliation with Clio or Meta
  • Process illegal content or content that infringes others’ rights

We may suspend or terminate access if we reasonably believe these terms or third-party platform rules have been violated.

Account security

You are responsible for safeguarding passwords and for actions taken with your accounts. Notify us promptly if you suspect unauthorized access. We implement reasonable security measures, but you remain responsible for the devices, networks, and practices used by your team.

Third-party platforms (Meta, WhatsApp, Instagram)

Clio integrates with services operated by third parties, including Meta’s WhatsApp Business Platform, Instagram Messaging APIs, and related Meta products. Future features may include Facebook Messenger.

Your use of those platforms is subject to their terms, policies, and pricing (for example message template charges billed by Meta). Clio does not control Meta’s availability, approval of templates, phone number quality ratings, or policy enforcement. We are not liable for actions taken by Meta or other providers.

Clio is an independent product and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. WhatsApp and Instagram are trademarks of their respective owners.

Your data

You retain ownership of the content and customer data you submit to Clio. You grant us a limited license to host, process, and display that data solely to provide and improve the service. Our handling of personal data is described in the Privacy Policy. Instructions for requesting deletion are on the Data Deletion page.

Service availability

We aim to keep Clio reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, outages at infrastructure providers, or issues at Meta and other integrations may affect availability. Where practical, we will communicate significant planned downtime.

Fees and payments

If you purchase a paid plan, you agree to the prices and billing cycle presented at checkout or in your agreement. Fees are generally non-refundable except where required by law or expressly stated otherwise. Channel costs charged by Meta (for example conversation or template fees) are separate from Clio subscription fees.

Limitation of liability

To the fullest extent permitted by law, Clio and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the service.

Our total liability for any claim relating to Clio is limited to the amount you paid us for the service in the three months before the claim, or ₹5,000 if you have not paid fees in that period—whichever is greater—except where liability cannot be limited by law.

The service is provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, or non-infringement, except those that cannot be excluded under applicable law.

Indemnity

You agree to indemnify and hold harmless Clio from claims arising out of your content, your messaging practices, your violation of these terms, or your misuse of third-party platforms connected to Clio.

Termination

You may stop using Clio at any time. We may suspend or terminate access if you breach these terms, if required by law, or if we discontinue the service with reasonable notice where practical. Provisions that by nature should survive (including liability limits, indemnity, and ownership) will continue after termination.

Changes to these terms

We may update these Terms of Service from time to time. The latest version will be posted on this page with a new “Last updated” date. Continued use after changes take effect constitutes acceptance of the revised terms.

Governing law

These terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in India will have exclusive jurisdiction over disputes, subject to any mandatory consumer protections that apply to you.
